1. Acceptance of Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "user") and ADHD Now, governing your access to and use of the ADHD Now website, mobile applications, and any related platforms (collectively, the "Platform"), including all content, features, and services provided through the Platform (collectively, the "Services").

By accessing, registering for, or using the Platform or Services in any manner, you confirm that:

  • You have read, understood, and agree to be bound by these Terms in their entirety, including our Privacy Policy, which is incorporated herein by reference.
  • You are at least 18 years of age, resident in Ireland, and have the legal capacity to enter into this agreement under Irish law.
  • If you are accessing the Platform on behalf of another person (e.g., as a legal guardian), you warrant that you have the authority to bind that person to these Terms.

If you do not agree with any part of these Terms, you must immediately cease all access to and use of the Platform and Services. We reserve the right to amend these Terms at any time for any reason, including to comply with changes in applicable laws, regulations, or business practices. We will notify you of any material changes by posting the updated Terms on the Platform and updating the "Last Updated" date above. Your continued use of the Platform or Services after such changes constitutes your acceptance of the revised Terms. If you do not accept the changes, you must stop using the Platform and Services.

These Terms supersede any prior agreements or understandings between you and us regarding the Platform or Services. In the event of any conflict between these Terms and any other document (except where expressly stated otherwise), these Terms shall prevail.

2. The Platform and Our Services

2.1 Scope of Services

ADHD Now operates a technology platform that facilitates connections between users and licensed, registered healthcare professionals in Ireland ("Clinicians") for the provision of specialised, supplementary telehealth services focused on Attention-Deficit/Hyperactivity Disorder (ADHD). These Services may include remote consultations, assessments, treatment plans, and, where clinically appropriate, prescriptions issued by Clinicians.

The Services are provided exclusively via electronic means (e.g., video, audio, or text-based communications) and are intended to support ADHD management. We do not provide in-person medical services, diagnostic imaging, laboratory testing, or any physical examinations.

2.2 Relationship between You, ADHD Now, and Clinicians

You acknowledge and agree that:

  • Clinicians may be employees of ADHD Now or independent contractors. Regardless of their employment status, each Clinician is solely responsible for their professional judgments, medical advice, diagnoses, treatments, prescriptions, and any other services they provide.
  • While ADHD Now may employ a clinical director or other staff who provide oversight or supervision of Services for quality and compliance purposes, our primary role is providing the technology Platform to facilitate connections between you and Clinicians. We do not directly provide or control clinical judgments or medical services. Where Clinicians are employees, ADHD Now may be vicariously liable under Irish law for their acts in the course of employment, but users agree that any claims shall be limited as per Section 13.
  • ADHD Now operates as a technology platform and is not registered as a traditional medical practice or pharmacy under Irish law. We do not guarantee the availability, quality, or outcomes of any Services provided by Clinicians.
  • All Clinicians are required to be registered with relevant governing bodies in Ireland and comply with their guidelines. However, ADHD Now does not verify or endorse individual Clinicians beyond confirming their registration status at the time of onboarding.

2.3 Supplementary Service Only

The Services are designed to supplement, not replace, the primary care provided by your registered General Practitioner (GP) or other healthcare providers. You must:

  • Remain registered with a GP in Ireland and continue regular in-person medical care.
  • Inform your GP of any Services received through the Platform, including diagnoses, treatments, or prescriptions.
  • Not use the Services as a substitute for comprehensive primary care, ongoing monitoring, or specialist referrals.

Failure to maintain primary care may result in inappropriate treatment, and you assume all risks associated therewith.

2.4 Telehealth Limitations

Telehealth services involve inherent limitations compared to in-person consultations, including:

  • Inability to perform physical examinations, physical vital sign checks, or physical diagnostic tests.
  • Potential for technical failures, delays, or interruptions in communication.
  • Risks of misdiagnosis, delayed diagnosis, or incomplete assessments due to reliance on user-provided information, including risks of contributory negligence if User Information is inaccurate.
  • Security risks associated with electronic transmission of health data.

You agree to these limitations and confirm that your needs do not require in-person evaluation. If a Clinician determines that telehealth is unsuitable for your condition, they may refuse Service and recommend in-person care. You agree to follow such recommendations without recourse against ADHD Now.

2.5 Availability of Services

We aim to provide reliable access to the Platform and Services but do not guarantee uninterrupted, error-free, or fault-free operation. Access may be suspended or restricted for maintenance, updates, technical issues, or other reasons beyond our control. We will endeavor to provide reasonable notice of planned downtime. In the event of unavailability, we shall not be liable for any loss or inconvenience.

Services are available only to residents of Ireland. Access from outside Ireland may be restricted to comply with local laws.

2.6 Supervision and Oversight

ADHD Now may employ a clinical director or other personnel to supervise or oversee Services for compliance, quality, and regulatory purposes (e.g., Medical Council guidelines). This does not constitute direct provision or control of medical care, which remains with Clinicians. Such supervision does not create additional liabilities beyond those under Irish law.

3. Critical Medical Disclaimer & Emergency Procedure

IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, BELIEVE YOU MAY BE A DANGER TO YOURSELF OR OTHERS, ARE HAVING SUICIDAL THOUGHTS, OR REQUIRE IMMEDIATE ASSISTANCE, YOU MUST IMMEDIATELY CONTACT EMERGENCY SERVICES BY DIALLING 999 OR 112, ATTEND YOUR NEAREST HOSPITAL EMERGENCY DEPARTMENT, OR CONTACT YOUR GP OR LOCAL CRISIS SUPPORT SERVICES (E.G., SAMARITANS AT 116 123).

The Platform and Services are not an emergency service, crisis hotline, or substitute for professional in-person medical or psychiatric care. Neither ADHD Now nor any Clinician can provide emergency assistance, 24/7 monitoring, or immediate interventions. Services do not constitute "good medical practice" if used for emergencies.

All information, advice, or content provided through the Platform (including assessments, treatment plans, or prescriptions) is for informational and supplementary purposes only and is not a substitute for professional medical diagnosis, treatment, or advice from your primary healthcare provider. You must never disregard, delay, or substitute professional medical advice based on anything obtained through the Platform. ADHD Now disclaims all liability for any reliance on such information.

To the fullest extent permitted by Irish law, we make no representations or warranties regarding the accuracy, completeness, or suitability of any information or Services for medical purposes.

4. User Registration and Account Security

To access the Services, you must register for an appointment on the Platform by providing accurate, current, and complete information, including your full name, date of birth, contact details, medical history, current medications, substance use, and GP details ("User Information").

You warrant that:

  • All User Information is truthful and up-to-date, and you will promptly update it as necessary.
  • Inaccurate or incomplete User Information may lead to inappropriate assessments or treatments, and you assume all risks and liability therefor.
  • You are eligible under Section 1 (at least 18 years old and resident in Ireland).

You are solely responsible for:

  • Maintaining the confidentiality of your account information.
  • All activities occurring under your control, including unauthorised access.
  • Notifying us immediately at info@adhdnow.com of any suspected breach or unauthorised use.

We reserve the right to suspend or terminate your services if we suspect misuse, fraud, or violation of these Terms, without liability.

5. Informed Consent to Telehealth Services

By using the Platform and Services, you provide explicit, informed consent to the following:

  • The electronic transmission, storage, and processing of your personal and sensitive health data to Clinicians and as necessary for Service provision, in accordance with our Privacy Policy and Irish data protection laws. You waive claims for non-material damages below €1,000.
  • The inherent risks of telehealth, including potential misdiagnosis, data breaches, and limitations on physical assessments.
  • Clinicians assessing your condition, providing treatment plans, and issuing prescriptions based solely on User Information and remote consultations.
  • If deemed clinically necessary for your safety or care continuity, your Clinician sharing information with your GP or other healthcare providers. You authorise such sharing and waive any claims against ADHD Now for facilitating it.
  • Recording of communications, phone calls, and consultations for quality assurance, training, or legal purposes. Recordings will be stored securely and deleted after a reasonable period, per our Privacy Policy.
  • Potential refusal of Services if your condition is unsuitable for telehealth, with no refund beyond our Cancellation Policy.
  • Any supervision or oversight by ADHD Now’s clinical director or staff as part of quality assurance, acknowledging this does not alter Clinicians’ independent judgments.

This consent is revocable at any time by notifying us in writing at info@adhdnow.com, but revocation may terminate your access to Services and does not affect prior lawful processing. You confirm you have discussed any concerns with your GP before consenting.

6. Consent to Anonymised Data Use for Research and Third-Party Sharing

By using the Services, you explicitly consent to the collection, processing, and anonymisation of your personal data, including special category data such as health information, for research purposes. This anonymised data may be used to improve our Services, conduct internal analyses, or contribute to scientific studies related to ADHD management and telehealth practices. Furthermore, such anonymised data may be sold, licensed, or otherwise transferred to third parties for their own research, commercial, or other lawful purposes, without further notice or compensation to you. We ensure that anonymisation is effective and irreversible, rendering the data non-personal and outside the scope of GDPR. You may withdraw it at any time by contacting us at info@adhdnow.com, though withdrawal does not affect prior lawful processing or anonymised data that has already been shared. 7. Medication and Prescription Policy

7.1 Professional Judgment

Prescriptions are issued solely at the Clinician’s independent professional discretion, based on their clinical judgment, User Information, and compliance with Irish laws and Medical Council prescribing guidelines. ADHD Now facilitates the transmission of prescriptions to pharmacies via secure systems but does not issue prescriptions itself.

7.2 Right to Refuse

Clinicians may refuse prescriptions if deemed clinically inappropriate, unsafe, complex for telehealth, or non-compliant with law. Consultation fees apply regardless, with no refund except as per Section 8. You agree that such decisions are final and not appealable.

7.3 User Responsibility

You are solely responsible for:

  • The safe use, storage, and adherence to any prescribed medication, including reading patient information leaflets and following instructions.
  • Reporting side effects or issues to your GP or Clinician immediately.
  • Not misusing, sharing, or abusing medications, which may have legal consequences under Irish law.

7.4 Dispensing

Prescriptions are sent electronically to independent, registered Irish pharmacies for dispensing by Clinicians using ADHD Now’s Platform. ADHD Now is not responsible for pharmacy errors, delays, supply, delivery, or costs. You agree to pharmacy terms separately.

8. Fees, Payment, and Cancellation

8.1 Fees

All fees for consultations, subscriptions, or Services are displayed on the Platform before purchase, in Euros (€), inclusive of VAT where applicable. Fees may vary based on Service type and are non-negotiable. We reserve the right to change fees with notice, in compliance with the Consumer Rights Act 2022 (14-day cooling-off period for distance contracts).

8.2 Payment and Billing Authorisation

By providing payment details ("Payment Method"), you authorise us (or our third-party processors) to charge all fees, including recurring subscriptions. You warrant that your Payment Method is valid and yours to use. We may store Payment Method details for future transactions. Update details promptly to avoid disruptions.

8.3 Subscriptions and Automatic Renewal

Subscriptions auto-renew at the specified interval unless cancelled. You authorise recurring charges without further consent until cancellation.

8.4 Cancellation Policy

  • Consultations: Cancel up to 72 business hours before for a full refund. Late cancellations or no-shows forfeit the full fee.
  • Subscriptions: Cancel anytime; effective at billing period end. No pro-rata refunds.
  • Refunds: Non-refundable except as stated or required by law.

We may suspend Services for unpaid fees, adding collection costs if necessary.

9. Privacy and Data Protection

We process your personal and sensitive health data in strict compliance with GDPR, the Data Protection Acts 1988-2018, and our Privacy Policy. By using the Platform, you consent to such processing for Service provision, including sharing with Clinicians and, where necessary, your GP. We implement robust security measures but cannot guarantee absolute security. In the event of a data breach, our liability is limited to negligence; no claims for emotional distress will be accepted. If applicable, we comply with the Health Research Regulations (HRRs) for health research. Report breaches to us immediately at info@adhdnow.com.

10. Intellectual Property

All content on the Platform (text, graphics, logos, software, etc.) is owned by ADHD Now or licensors and protected by Irish copyright laws and trademarks. You are granted a limited, revocable, non-exclusive license for personal use only. No copying, modification, distribution, or commercial use without written consent. Violations may lead to legal action.

11. No Guarantee of Outcomes

We make no guarantees, representations, or warranties regarding outcomes, effectiveness, or results from the Services. Outcomes depend on individual factors, and you assume all risks. Clinicians’ advice is not infallible, and we disclaim liability for any reliance thereon.

12. User Conduct and Responsibilities

You agree not to:

  • Use the Platform for illegal, harmful, or immoral purposes.
  • Harass, abuse, or threaten Clinicians or staff.
  • Impersonate others or provide false information.
  • Interfere with Platform functionality.
  • Reverse-engineer or extract data without consent.
  • Violate any laws, including data protection or medical regulations.

Breach may result in immediate termination without refund and legal action.

13. Limitation of Liability

To the fullest extent permitted by Irish law, ADHD Now, its affiliates, directors, employees, and agents shall not be liable for:

  • Indirect, consequential, special, or punitive damages.
  • Any acts/omissions of Clinicians or third parties.
  • Technical failures, data breaches beyond negligence, or Service unavailability.
  • Secondary claims or issues arising from modular fact-finding in litigation.

As Clinicians may be employees or independent contractors, and where a clinical director or other staff supervise Services, ADHD Now may be vicariously liable under Irish principles for employees’ acts in employment or, in certain cases, for non-delegable duties in healthcare. However, to the extent permitted by law, ADHD Now disclaims liability for Clinicians’ acts/omissions, advice, or diagnoses. Any claim related to medical services must be directed to the Clinician or ADHD Now as appropriate under law. Users waive claims arising from supervision to the fullest extent lawful.

Total liability is capped at fees paid by you in the prior 12 months.

14. User Indemnification

You agree to indemnify, defend, and hold harmless ADHD Now, its affiliates, officers, directors, employees, and agents from all claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Platform/Services, breach of Terms, or violation of laws/third-party rights. This survives termination.

15. Termination

  • By You: Cancelling of services anytime via the Platform or email.
  • By Us: We may suspend/terminate for breach, non-payment, or risk, without notice or refund.

Upon termination, access ceases; obligations survive.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of The Republic of Ireland. Disputes shall first attempt amicable resolution via mediation. If unresolved within 60 days, exclusive jurisdiction lies with the courts of Ireland. You waive class actions or representative proceedings.

17. Use of AI and Future Technologies

If artificial intelligence (AI) or other advanced technologies are integrated into the Platform or Services in the future, such use will comply with the EU Artificial Intelligence Act and other applicable regulations. We make no guarantees regarding the accuracy, reliability, or outcomes of such technologies. You acknowledge that AI-based services, if implemented, are not a substitute for professional medical advice or Clinician judgment.

18. General Provisions

  • Entire Agreement: These Terms, Privacy Policy, and any linked documents form the full agreement.
  • Severability: Invalid provisions are severed; remainder enforceable.
  • No Waiver: Delays in enforcement do not waive rights.
  • Assignment: We may assign rights; you may not without consent.
  • Force Majeure: No liability for events beyond control (e.g., pandemics, cyber-attacks).
  • Third-Party Links: We are not responsible for external sites/services.
  • Updates: We may modify the Platform/Services without notice.
